These terms govern your use of the Sharper Minds Academy website, learner accounts and online learning services. Programme-specific or purchase terms may also apply where clearly presented.

This website is operated by Sharper Minds Academy, a learning initiative within the Omokhodion Organisation ecosystem. References to “we”, “us” or “our” mean Sharper Minds Academy. References to “you” mean any visitor, learner, account holder or organisation using the site.
By using the site, you agree to these terms. If you register for or buy a programme, any programme-specific terms shown before enrolment will also apply. If they conflict with these general terms, the programme-specific terms take priority for that programme.
Sharper Minds Academy provides practical, AI-enabled learning designed to help people and organisations build understanding, judgement and useful capability. Website content is provided for education and general information. It is not a substitute for advice from a suitably qualified professional.
You remain responsible for decisions and actions taken using what you learn. In particular, you should obtain appropriate professional advice before relying on content for legal, financial, medical, safety-critical, agricultural or other regulated decisions.

Unless stated otherwise, the site and its learning materials—including text, graphics, frameworks, videos, exercises, software, branding and course design—are owned by us or used under licence.
We grant you a limited, non-exclusive, non-transferable and revocable licence to use materials made available to you for your own learning or, where agreed, for internal organisational learning. You may not reproduce, sell, publish, sublicense, distribute or create a competing product from the materials without written permission.
You retain ownership of original content you submit. You give us permission to host, copy, display and process it only as reasonably necessary to deliver, assess, support and improve the relevant learning service. We will not publish identifiable learner work for marketing without separate permission.
Some learning activities may use artificial-intelligence tools. AI output may be inaccurate, incomplete, biased or unsuitable for your circumstances. You must evaluate it, verify important facts and apply human judgement.
Do not enter unnecessary personal, confidential, proprietary or sensitive information into AI tools. Where we provide an AI-enabled activity, additional instructions or third-party terms may apply. You are responsible for ensuring that your use of generated output is lawful and does not infringe another person’s rights.
Prices, payment timing, programme dates, access periods and any cancellation or refund rules will be shown before purchase or in the applicable programme terms. Third-party payment providers may process transactions under their own terms.
Nothing in these terms removes rights you have under applicable consumer law. Where a statutory cancellation right applies to an online purchase, we will provide the required information. If you ask us to begin supplying digital content or a service during a cancellation period, we may ask for the acknowledgements required by law.
We aim to keep the site and learning services available, but uninterrupted or error-free access is not guaranteed. We may maintain, improve, replace or withdraw features and may update learning material to keep it accurate and useful. Where a material change affects a paid programme already underway, we will take reasonable steps to avoid reducing the core learning value you purchased.
We may suspend or end access where you materially breach these terms, create a security risk, fail to pay an amount due, or where continued provision is unlawful or impracticable. Where reasonable, we will explain the reason and give you an opportunity to resolve it.
The site may link to or integrate with services we do not control. A link does not imply endorsement. Your use of a third-party service is governed by that provider’s terms and privacy notice. We are not responsible for third-party content or availability, but this does not affect any responsibility we cannot lawfully exclude.
We use reasonable care and skill in providing our services. Educational outcomes depend on many factors, including participation, prior knowledge and the decisions you make, so we do not guarantee a particular academic, professional, commercial or financial result.
To the fullest extent permitted by law, we are not responsible for losses that were not reasonably foreseeable, or for business losses suffered by a consumer. If you use the site for business purposes, we are not liable for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill, anticipated savings or data, except where the law does not permit that exclusion.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of statutory consumer rights, or any other liability that cannot lawfully be excluded or limited.

If any part of these terms is found unenforceable, the rest will continue to apply. A delay in enforcing a right does not waive it. You may not transfer your rights under these terms without our agreement; we may transfer ours as part of a reorganisation or transfer of the service, provided this does not reduce your legal rights.
These terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, except that consumers may also have the benefit of mandatory rights and may bring proceedings in the courts available to them under applicable law.
